These Terms govern your access to and use of Auditly's websites, applications, software, APIs, integrations, AI-powered services, compliance tools, audit readiness services, governance, risk, and compliance solutions.

1. Acceptance of Terms

Welcome to Auditly.

These Terms of Use ("Terms") govern your access to and use of Auditly's websites, applications, software, APIs, integrations, AI-powered services, compliance tools, audit readiness services, governance, risk, and compliance solutions, and related offerings (collectively, the "Services").

These Terms constitute a legally binding agreement between you, your organization, or the entity you represent ("Customer", "User", "you", or "your") and Auditly ("Auditly", "we", "our", or "us").

By accessing, registering for, or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You may use the Services only if: You are at least 18 years of age, you have the authority to enter into legally binding agreements, you are authorized to act on behalf of your organization when using the Services for business purposes, and your use of the Services complies with applicable laws and regulations.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Services

Auditly provides software and services designed to assist organizations with: Governance management, risk management, compliance management, audit readiness, audit management, vendor risk management, policy management, documentation management, security monitoring, compliance automation, evidence collection, reporting and analytics, API access, integrations, AI-powered assistance through KIVO, and related trust, security, and compliance functions.

Auditly may modify, improve, suspend, or discontinue portions of the Services at any time.

4. Account Registration

To access certain Services, you may be required to create an account. You agree to: Provide accurate information, maintain current account information, protect account credentials, restrict unauthorized access to your account, and notify Auditly immediately of suspected unauthorized use.

You are responsible for all activities that occur under your account.

5. Customer Responsibilities

You are responsible for: Maintaining the confidentiality of your account credentials, ensuring the accuracy of information provided to Auditly, obtaining all required permissions for uploaded content, managing user access within your organization, reviewing outputs generated by the platform, and complying with applicable laws and regulations.

Auditly is a compliance enablement platform and does not guarantee certification, regulatory approval, legal compliance, audit success, or business outcomes. Final responsibility for compliance remains with the customer.

6. Acceptable Use

You agree not to: Violate applicable laws or regulations, interfere with platform security, attempt unauthorized access to systems or accounts, reverse engineer the Services except where expressly permitted by law, introduce malware, viruses, or harmful code, circumvent security controls, abuse APIs or integrations, use the Services to store unlawful content, conduct denial-of-service attacks or similar activities, use the Services for fraudulent purposes, or misrepresent your identity or authority.

Auditly reserves the right to suspend or terminate access for violations of these Terms.

7. Customer Data

Customers may upload, store, transmit, and process information through the Services. Examples include: Policies, procedures, audit evidence, risk assessments, vendor documentation, compliance records, reports, certifications, security documentation, contracts, internal records, and uploaded files.

You represent and warrant that: You own or have the necessary rights to provide such information, you have obtained all required permissions, and your use of the Services does not violate applicable laws or third-party rights.

8. Data Ownership

Customers retain ownership of their data. Auditly does not claim ownership of: Customer content, uploaded documents, compliance records, audit evidence, policies, reports, risk registers, vendor information, or customer-generated materials.

You grant Auditly a limited license to host, process, store, transmit, analyze, and display such information solely for the purpose of providing the Services.

9. Integrations & Third-Party Services

Auditly may provide integrations with third-party services and platforms. Examples may include AWS, Microsoft Azure, Google Cloud, GitHub, GitLab, Okta, Google Workspace, Microsoft 365, Slack, Jira, ServiceNow, CrowdStrike, Jamf, Rippling, and other supported platforms.

Your use of third-party services remains subject to the terms and privacy policies of those providers. Auditly is not responsible for the operation, availability, security, or performance of third-party services.

10. API Usage

Customers may access certain functionality through Auditly APIs. When using APIs, you agree to: Follow published documentation, respect rate limits, use APIs only for authorized purposes, maintain reasonable security controls, and protect API credentials.

Auditly may limit, suspend, or revoke API access at its discretion.

11. AI Services & KIVO

Auditly may provide AI-powered functionality through KIVO and related services. KIVO may assist with compliance guidance, policy generation, risk analysis, documentation support, audit preparation, reporting, summarization, and recommendations.

AI-generated outputs may contain inaccuracies, omissions, or incomplete information. You are responsible for reviewing and validating any output before relying upon it. Auditly does not guarantee the accuracy, completeness, or suitability of AI-generated content.

12. Security

Auditly maintains administrative, technical, and organizational safeguards designed to protect customer information. Security measures may include encryption in transit, encryption at rest, access controls, security monitoring, audit logging, vulnerability management, and secure development practices.

No system can be guaranteed to be completely secure. Customers remain responsible for securing their own environments, credentials, and access permissions.

13. Subscription & Fees

Certain Services may require payment. Customers agree to pay applicable fees, provide accurate billing information, and maintain valid payment methods.

Unless otherwise specified in a separate agreement, fees are non-refundable, subscriptions automatically renew, and taxes remain the responsibility of the customer.

Additional commercial terms may be governed by separate order forms, subscription agreements, or enterprise contracts.

14. Intellectual Property

Auditly and its licensors retain all rights, title, and interest in the software, source code, designs, trademarks, logos, documentation, APIs, user interfaces, features, and platform functionality.

No rights are granted except as expressly provided in these Terms.

15. Confidentiality

Both parties agree to protect confidential information disclosed in connection with the Services. Confidential information includes technical information, security information, business information, pricing information, customer data, product roadmaps, and non-public documentation.

Confidential information shall not be disclosed except as required by law or necessary to provide the Services.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDITLY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

AUDITLY DOES NOT GUARANTEE AUDIT SUCCESS, CERTIFICATION APPROVAL, REGULATORY COMPLIANCE, BUSINESS RESULTS, OR ERROR-FREE OPERATION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDITLY SHALL NOT BE LIABLE FOR INDIRECT DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL AUDITLY'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO AUDITLY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend, indemnify, and hold harmless Auditly, its affiliates, officers, employees, contractors, and partners from claims arising from your use of the Services, violation of these Terms, violation of applicable laws, infringement of third-party rights, or customer content submitted through the Services.

19. Suspension & Termination

Auditly may suspend or terminate access if these Terms are violated, required by law, necessary to protect security, necessary to prevent misuse, or if customer accounts become delinquent.

Customers may terminate use of the Services subject to applicable subscription agreements.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

21. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiations. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.

22. Changes To These Terms

Auditly may update these Terms from time to time. Updated versions will be posted on this page with a revised "Last Updated" date. Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.
